93/2007: Registration of the increase of share capital of KRI SA and information update
The Board of Directors of PBG S.A. hereby informs to have been notified
on 6th September 2007 that on 30th August 2007 the increase of the
Company''s share capital from PLN 53 800 000 to PLN 126 684 615 was
registered in the National Court Register. The increase follows the
issues of 72 884 615 series B shares of KRI S.A.
Furthermore, the Board of Directors of PBG SA, with regard to report
77/2007 of 31st July 2007 (the report is available at:
http://www.inwestor.pbg-sa.pl/nowa/pl/detale.asp?id=1445) informs that
an agreement under which all shares in PGS Sp. z o.o. shall be
transferred upon KRI SA, while series B shares have been acquired by
Galiver Ltd funds with its registered office in Nicosia, Prospect
Investment Management LLP with its registered office in London, Trustees
of The Thameside 1979 Settlement trust with its registered office in
Henley-on-Thames, RIT CAPITAL PARTNERS PLC with its registered office in
London and FA Globar (BVI) Ltd with its registered office in Road Town,
in the percentage specified in current report no. 22/2007. As a result,
23 800 000 series A shares in KRI SA at the per-share value of PLN 1
held by PBG S.A. represent 18.79% of KRI SA''s share capital and the
total number of votes. As a result, as of 1st September 2007, the
results of KRI SA will not be included in the consolidated financial
statements of PBG Capital Group.
