Online transmission of financial results

On August 25, 2010, at 13.00, there will be held a conference concerning PBG CG financial results for IH2010.

On August 25, 2010 PBG SA will publish its financial results for 1H2010.

PBG SA will familiarize earlier its shareholders with unit and consolidated report for first half of 2010. The PBG SA Management Board announced that the publication will take place on August 25, 2010, and not as previously reported, August 31, 2010.

Contract on Construction of the S5 Expressway

Companies from the PBG Capital Group: PBG SA, APRIVIA SA and HYDROBUDOWA POLSKA SA concluded an agreement with General Directorate of National Roads and Motorways on construction of S5 expressway, Poznań section (A2 - the Głuchowo interchange) - Wrocław (A8 - the Widawa interchange), Kaczkowo-Korzeńsko section (the Bojanowo and Rawicz Beltway). Alpine Bau GmbH is the Consortium Leader and companies from the PBG Capital Group are Partners. The Contract Amount is PLN 777 239 570,60 VAT exclusive (PLN 948 232 276,21 including VAT).

Conclusion by PBG S.A. of a Material Power-Sector Contract - report correction

The Management Board of PBG S.A.corrected Current Report No. 37/2010 published on July 20th 2010. The reason for the correction is an editorial error which appeared in the report and involved stating an incorrect date of conclusion of the agreement between PBG S.A. and KGHM Polska Miedź S.A.: the report specifies July 7th 2010, while the correct date SHOULD BE: July 9th 2010.

Conclusion of an annex to the framework agreement with ING Bank Śląski SA

The Management Board of PBG SA informs about concluding on July 8th 2010 an annex to the framework agreement executed on September 6th 2007 between ING Bank Śląski SA and PBG Group members: PBG SA, HYDROBUDOWA POLSKA SA, PBG Technologia Sp. z o.o., HYDROBUDOWA 9 SA, AVATIA Sp. z o.o. and INFRA SA (no longer a member of the PBG Group) concerning a credit facility of up to PLN 220 mn. The annex extended the period of availability of the credit facility granted until September 13th 2010.

Conclusion by PBG SA of a material power-sector contract - agreement with KGHM for the delivery of Gas Turbine Generator Sets

The Management Board of PBG SA informs about concluding on July 7th 2010 an agreement with KGHM Polska Miedź SA for the execution and delivery of four complete Gas Turbine Generator Sets - gas turbines with low-emission burning systems, as well as their assembly and start-up. PBG SA will have completed all the work, valued at PLN 95,100,000 (VAT-exclusive), by November 30th 2012. The agreement has been classified as material due to the fact that it is the first power-sector contract procured by PBG SA.

Execution of Annexes to Performance Bond Insurance Agreements with TUiR "Warta" S.A.

Until December 16th 2010 there will be in force and agreement concluded by companies from the PBG Capital Group with TUiR "Warta" S.A. concerning performance bond insurance agreements in the frameworks of specified guarantee limit. In the same time the limit has been increased up to PLN 200 mn and INFRA SA had been excluded from the agreement.

Execution of Material Contract for Construction of LNG Terminal in Świnoujście

The Consortium including PBG SA and PBG Export Sp. z o.o. has executed a contract with Polskie LNG for "The Engineering Design, Construction and Commissioning of an LNG Regasification Terminal in Świnoujście”. The VAT-exclusive value of the contract is PLN 2,415,213,000.

Registration by the Court of amendments to the Statute of PBG SA

Management Board of PBG SA announces that on 12 July 2010 has chosen to make the information by the District Court Poznan - New Town and Wilda in Poznań , VIII Division of the National Court Register at its meeting on 22 June 2010 on amendments to NCR entry in the scope of update in accordance with the resolution of the Annual General Meeting of Shareholders of PBG SA of 21 April 2010.

Another road contract in the PBG Capital Group's backlog of orders

Consortium in which Partners are companies from the PBG CG: PBG SA, HYDROBUDOWA POLSKA SA and APRIVIA SA, and the Leader is SIAC Construction Ltd. company, signed on 7th of July an agreement with General Directorate of National Roads and Motorways for construction of A4 highway Tarnów - Rzeszów, sector Krzyż - Dębica Pustynia. In the scope of companies from the PBG CG there is an execution of 50% of the contract with the net value of PLN 1 434 761 287,80. At the same time, Companies from the PBG CG signed an agreement with Bank Pekao SA for credit line in the amount of PLN 220 mn, securing financing of gained contract.

Execution of Significant Agreements Concerning Construction of the A1 Motorway

On June 17th 2010 PBG S.A. executed two significant contracts with the General Directorate for National Roads and Motorways (Generalna Dyrekcja Dróg Krajowych i Autostrad, "GDDKiA") acting as the Principal for and on behalf of the Polish State Treasury.

The Supervisory Board has appointed a Qualified Auditor of Financial Statements

The Supervisory Board of PBG SA has appointed a Grant Thornton Frąckowiak Sp. z o.o. as the entity responsible for: - reviewing the interim separate and consolidated financial statements as at June 30th 2010; - auditing the separate financial statements of PBG SA as well as the consolidated financial statements of the PBG Capital Group for 2010.

Execution of an Annex to the Contract for Construction of a Multi-Purpose National Stadium in Warsaw

The Management Board of PBG S.A. reports that Consortium led by ALPINE BAU DEUTSCHLAND AG and comprising ALPINE BAU GmbH, ALPINE Construction Polska Sp. z o.o., HYDROBUDOWA POLSKA S.A., and PBG S.A. as consortium partners, executed an annex to the contract with Narodowe Centrum Sportu Sp. z o.o.The contract provides for the construction of a multi-purpose National Stadium in Warsaw together with the auxiliary infrastructure necessary for proper operation of the stadium, which will allow the stadium to host football matches during the UEFA EURO 2012 championship. Under the annex, the contract completion date was set for June 30th 2011.

Disposal of INFRA S.A. Shares

In report No. 28/2010 the Management Board of PBG S.A. reports that a share sale agreement was executed and PBG S.A. sold its entire interest (4,997,500 shares) in INFRA S.A.

Conclusion of an annex to the liability limit agreeement

In the current report 27/2010 the Management Board of PBG SA informs about conclusion of an annex to the liability limit agreement as of September 28, 2007, concluded by Companie from the PBG Capital Group with Raiffesen Bank Polska SA.

Agreement with ALSTOM Power

PBG SA concluded a preliminary consortium agreement with ALSTOM Power Sp. z o.o. The purpose of the consortium agreement is to define the rules of cooperation between the two companies, with a view to submitting a joint bid for a contract "Construction of Power Unit at the Kozienice Power Plant”.

Execution of Annex to Agreement with TUiR Euler Hermes S.A.

The Management Board of PBG S.A. announces the execution of an annex to the agreement with TUiR Euler Hermes S.A. on the provision of contract-related guarantees under a revolving credit facility.

Forecast of PBG Group's Financial Performance in 2010

According to the forecast by the Management Board of PBG S.A., the Group will achieve the following results in 2010: consolidated sales revenue of approximately PLN 3 bn, consolidated operating profit of approximately PLN 300 m, consolidated net profit attributable to the Parent of approximately PLN 220 m.
