19/ 2006: Acquisition of shares of Hydrobudowa ?l?sk SA
The Board of Directors of PBG S.A. hereby informs that on 24th February 2006, following the allocation of shares, the Board acquired 1,690,000 series H shares of Hydrobudowa ?l?sk S.A. as part of the conducted subscription. The shares were acquired at the per-share price of PLN 28.50.
PBG S.A. financed the investment from the revenues obtained from the issue of series E shares. The Board of Directors of PBG S.A. considers the investment as long-term and does not exclude a greater involvement in shares of Hydrobudowa ?l?sk. The acquired assets were considered material based on the criterion of the PBG S.A. shareholders'' equity.
Hydrobudowa ?l?sk holds a strong position in the southern Poland market, it possesses experience and references concerning the completion of considerable investments, including hydro-technical projects and projects co-financed by the EU funds. PBG S.A. does not intend to change to the scope of business of Hydrobudowa.
The incorporation of Hydrobudowa ?l?sk into PBG Capital Group will strengthen the executive potential of the Capital Group and will allow, among others, to complete works in new areas, previously not subjected to the activities of the companies of PBG Capital Group.
Moreover, the Board of Directors of PBG S.A. hereby declares that there are no connections between the Company and the members of the Board of Directors and the Supervisory Board of Hydrobudowa ?l?sk S.A.
