16/2019: Registration of merger between PBG and PBG oil and gas.

The Management Board of PBG S.A. (the “Company, “PBG”) was notified today that on June 3rd 2019 the merger between PBG (as the Acquirer) and PBG oil and gas Sp. z o.o. (as the Acquiree) was registered by the District Court for Poznań-Nowe Miasto and Wilda of Poznań, 8th Commercial Division of the National Court Register (the court with jurisdiction over both companies). The merger was effectedin accordance with Art. 492.1.1 and Art. 515.1 of the Commercial Companies Code in conjunction with Art. 516 thereof, based on the Merger Planprepared pursuant to Art. 499.1 of the Commercial Companies Code and Resolution No. 2 of the Extraordinary General Meeting of PBG S.A. of April 2nd 2019 (see Current Report No. 11/2019).

Details of the Merger Plan were announced by PBG in Current Report No. 4/2019 of January 31th 2019, Current Reports No. 5/2019 of January 31th 2019, No. 5/2019 of January 31th 2019 and No. 6/2019 of February 19th 2019, and Current Report No. 11/2019 of April 2nd 2019.

  3. Your personal data shall be processed for the process of newsletter subscription under Article 6 (1) (a) of the Regulation.
  4. Your personal data shall be stored until you request to cancel the subscription.
  5. The recipients of your personal data shall be the persons authorised by the Controller, i.e. the employees and associates who have to have access to the data to perform their duties, and the Controller's Providers to whom the Controller entrusts the processing of the personal data under and based on the data processing agreements and in line with the requirements of Article 28 of GDPR (i.e.: the provision of IT services).
  6. Giving your personal data is voluntary. However, your refusal to give it prevents us from sending you the newsletter.
  7. You have the right to request from the Controller the access to your personal data. Moreover, you can correct your personal data, delete it or limit its processing, and you have the right to withdraw your consent for data transfer.
  8. You have the right to file a complaint to a supervisory body.
  9. Giving your personal data is voluntary.
